Grays Hall College Counseling's Application Autoroute ("AA") Terms & Conditions

BY ACCESSING OR USING AA, YOU ACKNOWLEDGE THAT:

  • YOU HAVE READ THIS AGREEMENT,
  • YOU UNDERSTAND IT, AND
  • THAT YOU ACCEPT AND AGREE TO BE BOUND BY ITS TERMS.

 

The Parties

This agreement "(Agreement") is a legal contract by and between Arlette B. Bolduc dba Grays Hall College Counseling located at 22025 Hawthorne Blvd, #1036, Torrance, CA 90503 (hereinafter referred to as "GHCC") and the student (hereinafter referred to as "YOU").  This Agreement is also by and between any financially responsible party that has paid for GHCC's Application Autoroute online masterclass (hereinafter referred to as "AA") for YOU. 

YOU, the financially responsible party(ies) and GHCC are collectively referred to as the "Parties".

WHEREAS, GHCC is engaged in the business of independent educational consulting/college admission services; and WHEREAS YOU desire to engage GHCC to provide group coaching services to YOU through AA in the form of live virtual meetings, personal coaching and evaluation, videos, PDFs and access to the CustomCollegePlan (hereinafter referred to as "CCP"); NOW, THEREFORE, the Parties agree as follows: 

Section 1: Responsibilities and Expectations

As your college consultant, GHCC will treat YOU with respect, honesty, and fairness in all our dealings.  GHCC strives to offer a consistently high level of service to everyone with whom GHCC works.  College counseling is based on trust, mutual respect and honesty.

YOU are responsible to complete all assignments in a timely fashion.  

Through AA and all online office hours, GHCC strives to provide a comfortable learning environment, and hopes to provide the opportunity for YOU to experience a healthy sense of balance and perspective throughout the application process. 

GHCC and its counselors adhere to the NACAC (National Association for College Admission Counseling) Principles of Good Practice.

GHCC will provide the information, guidance, and deadlines, but it is up to YOU to make sure that all applications are submitted in a timely manner.  

Section 2: Services Provided, Fees and Termination

2.1 Services Provided: Under the terms of this Agreement, GHCC agrees to provide access to AA, a complete self-paced online course that will guide you down the road to submitting your college applications.  There will be periodic virtual office hours for YOU to ask questions and receive additional guidance.    

The course includes bite-sized modules and units (lessons) within each module, very carefully crafted to provide the student with a very well-marked "autoroute" to applying for and getting accepted to college.  It consists of the following:  

  • Module 1: Welcome to Your Application Autoroute
  • Module 2: How to Build Your College List
  • Module 3: Testing - SAT/ACT - Updates & Strategies
  • Module 4: College Application Terms You Should Know
  • Module 5: Extracurricular Activities 
  • Module 6: Letters of Recommendation
  • Module 7: The Applications
  • Module 8: The Essays
  • Module 9: All Things Financial Aid
  • Module 10: You have hit "submit" - now what?

Within each module, there will be video instruction, worksheets and countless links, resources, and helpful tips.  Students will be able to submit questions or comments to Arlette through the course platform.

Parents will have access to an online community where they will be able to ask questions and share experiences. 

You will have access to CustomCollegePlan "CCP" which is a powerful all-in-one college research platform not available to the general public. It will provide you with: 

  • Up-to-date admission data including admission rates, average GPA and test scores for admitted students
  • Access to amazing research tools, including the Fiske Guide so you can fully investigate colleges
  • A way to track your application deadlines 

Arlette will have at least monthly online office hours for students who want to ask her questions in person.  These office hours may be more frequent during peak application season.

YOU will have access to AA, and CCP until the end of June of YOUR senior year in high school, or the June prior to the fall you start college.

2.2 Fees: The fee for AA is $1295 USD, with a 3-month ($450 USD) or 5-month ($275 USD) payment plan option. 

2.3 Promotional Material: By accepting the terms of this Agreement and affirmatively seeking the benefits of this program offered by GHCC, YOU affirmatively agree and acknowledge that GHCC may at any time reproduce and/ or disseminate any testimonial(s) describing or otherwise referencing, either directly or indirectly, YOUR experience participating in such program(s), including any specific results experienced by YOU over the course of such participation. YOU agree and acknowledge that this includes any written statements you may publish to social media accounts and online forums as well as any statements and/or images captured or otherwise recorded over the course of attendance at any event(s) related to such program(s).

2.4 No Refunds: GHCC abides by a strict, no refund policy. By accepting the terms of this Agreement, YOU agree and understand that YOU are foregoing the right to claim any refund of fees paid for access and use of AA offered by GHCC. YOU further acknowledge that in accepting the terms of this Agreement and affirmatively seeking the benefits ofAA, YOU are taking full responsibility for YOUR own success. Thus, YOU agree that YOU will not request a refund. The exception to this policy is clause 2.5 outlined below.

2.5 Money-Back Guarantee: GHCC wants YOU to be satisfied with YOUR purchase, but we also want YOU to give YOUR best effort to apply all of the strategies in the course. GHCC provides a 14-day money-back guarantee for AA. That money-back guarantee is governed by the following terms: YOU will receive a full refund for YOUR payment upon requesting it by emailing [email protected] if YOU are not completely satisfied with the product AND YOUR first payment (or only payment if YOU paid in full) for AA was no more than fourteen (14) calendar days before sending YOUR notice and YOU have accessed no more than 10% of the online course component of the program.

After day 14, all payments are non-refundable and YOU are responsible for full payment of the fees for the program regardless of whether YOU complete the program.

Upon determining that YOU are entitled to a refund pursuant to this policy, GHCC will promptly issue an instruction to its payment processor to issue a refund. GHCC does not control its payment processor and will not be able to expedite any refunds.

If YOU receive a refund of any purchase through this money-back guarantee, that shall immediately terminate any and all licenses granted YOU to use the material provided to YOU under this Agreement. YOU shall immediately cease using the material and shall destroy all copies of the information provided to YOU, including without limitation: video recordings, audio recordings, forms, template documents, slide shows, social media groups limited to paying members, and other resources.

All refunds are discretionary as determined by GHCC.

2.6 Disputes: If either YOU or GHCC has any issues or concerns about this Agreement or our wider business relationship, YOU and GHCC agree to communicate those concerns out reasonably, in an email to the other party, after which YOU and GHCC must use all reasonable means to discuss or meet to try to resolve the issue amicably. This step must be taken before any other legal action is taken by either party, other than with respect to any monies owing by YOU to GHCC, or with respect to any urgent interlocutory relief.

Section 3: No Warranties

3.1 Success Not Guaranteed: By accepting the terms of this Agreement, YOU agree and understand GHCC provides college admission coaching/consulting through AA only and guarantees no specific results. YOU take full responsibility for YOUR own success.

3.2 Limited Liability:  In no event will GHCC be liable to YOU or any party related to YOU for any damages, including any indirect or consequential loss, or any loss of profits, revenue or loss of data or other content, or other pecuniary loss, whether under a theory of contract, warranty, tort (including negligence), product liability or otherwise, even if GHCC has been advised of the possibility of such damages.  YOU agree that GHCC shall not be liable to you for any type of damages, including direct, indirect, special, incidental, equitable, or consequential loss or damages for use of AA.  Limitations herein described shall be applied to the greatest extent enforceable under applicable law. 

3.3 No Guarantee of Admission or Scholarships: There is no guarantee that YOU will be accepted into or receive money from any college or specific university, scholarship program, or other academic institute. 

Section 4: Confidentiality

GHCC respects the privacy of its clients and will not disclose any information YOU provide except as set forth in this Agreement. As a condition of being part of AA, YOU hereby agree to respect the privacy of other AA users and to respect GHCC's confidential information.  

4.1 Confidentiality:  Only authorized users, who have duly obtained access to any programs/products offered by GHCC by personally agreeing to the terms of this Agreement are permitted to use and participate in such programs, including AA.  Except as expressly authorized by this Agreement, YOU shall not provide or make available any documentation, video, audio, or any login credentials to any third party, or use the documentation, video, audio, or any login credentials to teach any third party, or otherwise disclose information revealed in any portion of the programs, including AA for any purpose other than exercising rights expressly granted to you by this Agreement.

4.2 Intellectual Property: YOU acknowledge that any audio and/or visual presentations, documentation, and other elements of the program are the sole Intellectual Property of GHCC. YOU further acknowledge and agree that, as between YOU and GHCC, GHCC and its third party licensors own and shall continue to own all right, title, and interest in and to the audio and/or visual presentations, documentation, and other elements of the programs including AA, including associated intellectual property rights under copyright, trade secret, patent, or trademark laws. Except for the limited, revocable license expressly granted to you herein, this Agreement does not grant you any ownership or other right or interest in or to the audio and/or visual presentations, documentation, or any other intellectual property rights of GHCC whether by implication, estoppel, or otherwise. Any and all trademarks or service marks that GHCC uses in connection with services rendered by GHCC are marks owned by GHCC. This Agreement does not grant you any right, license, or interest in such marks, and you shall not assert any right, license, or interest in such marks or any words or designs that are confusingly similar to such marks.

4.3 No Ownership Rights: GHCC content is not for resale. Your participation in programs including AA does not entitle you to make any unauthorized use of any protected content, and in particular, you will not delete or alter any proprietary rights or attribution notices in any content. You will use protected content solely for your individual use and will make no other use of the content without the express written permission of GHCC and the copyright owner. You agree that you do not acquire any ownership rights in any protected content. GHCC does not grant you any licenses, express or implied, to the intellectual property of GHCC or our licensors except as expressly authorized herein.

4.4 Single Use License: YOU are granted a single-use, non-exclusive, non-transferable, revocable license to access and use the content and resources of AA and other GHCC products. YOU hereby agree that YOU will not modify, publish, transmit, reverse engineer, participate in the transfer or sale, create derivative works, or in any way exploit any of the content, in whole or in part, found in the GHCC programs including AA.

4.5 Infringement: YOU hereby agree that any infringement of the GHCC’s intellectual property shall result in immediate termination of the license granted hereunder. To be clear, if YOU violate the GHCC's intellectual property rights, your access to the GHCC's programs including AA will be terminated immediately, and YOU shall not be entitled to a refund of any portion of the fees. 

Section 5: Miscellaneous

5.1 Non-transferability: The rights and obligations under this Agreement are personal to YOU. YOU may not assign or transfer any rights or obligations under this Agreement.

5.2 Indemnification: YOU will, at your own expense, defend, indemnify, and hold GHCC, its agents, and employees harmless from any and all claims, actions, liabilities, injuries, damages, losses, grants, costs, and expenses, including attorney fees, arising out of or in connection with any use of the programs, including AA, of this Agreement.

5.3 Integration: This Agreement, along with GHCC’s privacy policy, and any additional terms and policies incorporated herein by reference, represents the entire Agreement between YOU and GHCC concerning the program (AA), and this Agreement supersedes and replaces any prior proposal, representation, or understanding YOU may have had with GHCC relating to the program (AA), whether oral or written.

5.4 Survival of Terms: All provisions of these terms that by their nature should survive termination of this Agreement shall survive including all limitations on liability, indemnification obligations, disclaimers, choice of law, and intellectual property protections.

5.5 Amendment of Terms: GHCC reserves the right, in its sole discretion, to amend this Agreement from time to time by giving you at least 7 days prior notice of the changes by email and posting an updated version of the Agreement in the place of the revised (old) one.

5.6 Severance: If any of these terms are held to be invalid, unenforceable, or illegal for any reason by a court of competent jurisdiction (see 5.10), the remaining terms will continue in full force and effect.

5.7 Minimum Purchase Age: GHCC programs are designed with teenagers in mind, but are only available for purchase by adults over the age of eighteen (18) years. By entering into this Agreement and purchasing a GHCC program, including AA, YOU acknowledge that YOU are over eighteen (18) years of age.

5.8 No Partnership: Nothing in this Agreement shall be construed to create a partnership, joint venture, employment, or agency relationship. GHCC is agreeing only to provide YOU with access to the program, including AA, which provides education and information.

5.9 Updates: The information, software, products, and service included or available through the programs, including AA, may include inaccuracies or typographical errors. Changes are periodically added to the information in GHCC's programs, including AA. GHCC and/or its suppliers may make improvements and/or changes in the programs, including AA, at any time.

5.10 Governing Law and Venue: This Agreement shall be covered by and interpreted in all respects in accordance with the laws of the state of California.  The venue for any dispute arising under this Agreement shall first be mediation through Los Angeles County Consumer and Business Affairs mediation program (https://dcba.lacounty.gov/mediation/) and if the matter must go to litigation, the venue shall be the Los Angeles County Superior Court.  

Section 6: Force Majeure

GHCC shall not be liable or responsible to YOU, nor be deemed to have defaulted or breached this Agreement, for any failure or delay in fulfilling or performing any term of this Agreement when and to the extent such failure or delay is caused by or results from acts or circumstances beyond the reasonable control of GHCC including, without limitation, acts of God, flood, fire, earthquake, explosion, governmental actions, war, invasion, or hostilities (whether war is declared or not), terrorist threats or acts, riot, or other civil unrest, national emergency, revolution, insurrection, epidemic, lock-outs, strikes or other labor disputes (whether or not relating to either party’s workforce), or restraints or delays affecting carriers or inability or delay in obtaining supplies of adequate or suitable materials, materials or telecommunication breakdown or power outage. 

Section 7: Non-Disparagement

The parties agree that they neither will engage in any conduct or communications with a third party, public or private, designed to disparage the other. Neither YOU nor any of YOUR family members, associates, employees or affiliates will directly or indirectly, in any capacity or manner, make, express, transmit, speak, write, verbalize or otherwise communicate in any way (or cause, further, assist, solicit, encourage, support or participate in any of the foregoing), any remark, comment, message, information, declaration, communication or other statements of any kind, whether verbal, in writing, electronically transferred or otherwise, that such termination.

BY PURCHASING, YOU ACKNOWLEDGE THAT YOU UNDERSTAND AND AGREE TO ALL OF THE AFOREMENTIONED TERMS, INCLUDING THOSE RELATED TO PROGRAM FEES, AUTOMATIC MONTHLY/ANNUAL BILLING, STRICT NO REFUND POLICY, AND CONFIDENTIALITY.
